By accessing or placing an order through the Zenovate Order Portal, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.

1. Purchaser Acknowledgment

Products offered through the Zenovate Order Portal are intended for research use only, unless otherwise expressly stated. By placing an order, the purchaser acknowledges and agrees that they understand the intended research-use designation of the products and assume full responsibility for ensuring their purchase, possession, handling, storage, and use complies with all applicable laws, regulations, and requirements. The purchaser further acknowledges that Zenovate makes no representation that any product is approved for human or veterinary use unless expressly indicated.

2. Order Acceptance

Submission of an order does not guarantee acceptance. Zenovate reserves the right to refuse, limit, cancel, or modify any order at its sole discretion, including but not limited to orders containing inaccurate information, pricing errors, suspected fraud, regulatory concerns, or inventory limitations.

3. Pricing & Payment

All prices are subject to change without prior notice. Payment must be received and verified before an order is processed unless otherwise agreed to in writing. Orders are considered final once payment has been verified and accepted by Zenovate.

4. No Returns or Refunds

Due to the nature of research, medical and pharmaceutical products, all verified sales are final. Returns, exchanges, or refunds are not accepted unless approved by Zenovate in writing. If a refund is exceptionally approved, it may be subject to a processing and administrative fee.

5. Shipping & Risk of Loss

Shipping dates are estimates only. Zenovate is not responsible for delays caused by carriers, weather, customs, regulatory agencies, or other events beyond its control. Risk of loss transfers to the purchaser upon delivery to the shipping address provided.

6. Product Use

Products purchased through this portal are intended only for lawful use by qualified professionals. The purchaser is solely responsible for proper storage, handling, preparation, prescribing, dispensing, administration, and use of all products.

7. Assumption of Risk

By purchasing through this portal, you acknowledge and accept all risks associated with the purchase, storage, handling, administration, and use of the products. Zenovate assumes no risk or liability arising from the purchaser’s selection, handling, prescribing decisions, administration, patient outcomes, or any use or misuse of the products after delivery.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Zenovate shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, business interruption, or loss of goodwill, arising from or relating to the purchase or use of any product. Zenovate’s total liability shall not exceed the amount paid for the specific order giving rise to the claim.

9. Product Information

Purchasers are responsible for reviewing all product information, labeling, directions, and applicable regulatory requirements before use. Product specifications and availability may change without notice.

10. Compliance

The purchaser agrees to comply with all applicable federal, provincial/state, and local laws, regulations, licensing requirements, and professional standards relating to the purchase and use of Zenovate products.

Zenovate shall not be responsible for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, transportation interruptions, government actions, supply chain disruptions, labor shortages, or other unforeseen events.

12. Governing Law

These Terms & Conditions shall be governed by the laws applicable in the jurisdiction in which the transaction is conducted, without regard to conflict of law principles.

13. Changes to These Terms

Zenovate reserves the right to modify these Terms & Conditions at any time. Updated versions become effective immediately upon posting to the Order Portal.
